1. Acceptance of Terms

By accessing or using offosecos ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms apply to all users, including brands, influencers, and visitors.

2. Description of Service

offosecos is a two-sided marketplace connecting brands with influencers for product promotion through commission-based partnerships. The Platform provides tools for product listing, campaign management, influencer discovery, performance tracking, and payment processing.

3. Account Registration

To use certain features, you must register an account. You agree to provide accurate, complete information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials. All accounts are subject to review and approval by our team.

4. User Obligations

Brands agree to: provide accurate product information and pricing, honor commission rates set on the Platform, make timely payments for verified conversions, and comply with all applicable advertising laws.

Influencers agree to: provide authentic content, disclose sponsored promotions per FTC guidelines, not engage in fraudulent activity (fake clicks, bot traffic), and maintain their public storefront accurately.

5. Commissions & Payments

Commission rates are set by brands and visible to influencers before promotion. The Platform charges a transaction fee of 2.5% on payouts to cover payment processing. Payouts are processed on the schedule selected by the influencer (weekly or monthly). We reserve the right to withhold payments in cases of suspected fraud pending investigation.

6. Intellectual Property

All Platform content, features, and functionality are owned by offosecos. Users retain ownership of their content but grant offosecos a license to display, promote, and distribute it in connection with the Platform's operation.

7. Prohibited Activities

Users may not: use the Platform for illegal purposes, engage in click fraud or artificial inflation of metrics, violate intellectual property rights, harassment or abuse of other users, attempt to circumvent Platform security, or create multiple accounts to abuse promotional offers.

8. Dispute Resolution

In the event of disputes between brands and influencers, both parties agree to first attempt resolution through our built-in dispute resolution center. Our team will mediate within 5 business days. If resolution cannot be reached, disputes will be settled through binding arbitration.

9. Termination

We may terminate or suspend your account at any time for violations of these Terms. You may delete your account at any time through account settings. Outstanding commissions will be paid out within 30 days of account closure.

10. Limitation of Liability

offosecos is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages arising from Platform use. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Changes to Terms

We may update these Terms from time to time. Users will be notified of material changes via email. Continued use after changes constitutes acceptance of the revised Terms.
